Terms of Service

These terms apply to your use of oriamai.online and to the consulting and deployment services Oriam AI (“we”, “us”) provides. By using the site or buying a service, you agree to them. If you have a separate written agreement with us, that agreement controls where it differs.

1. Our services

We build, install, and manage private, on-premise AI systems. Our fixed packages (Sovereign Essentials and Sovereign Enterprise) are described on the Services page; each is dedicated hardware installed in your office plus the monthly Managed Sovereignty Plan. Custom builds (for example, over 30 users) are scoped and priced in writing before they begin.

2. Payment

At checkout, through Stripe, you pay the one-time hardware & provisioning fee plus the first month of the Managed Sovereignty Plan, by bank transfer (ACH) or card. The plan then renews and is charged automatically each month until you cancel (see section 12). Hardware is ordered only after payment clears; bank transfers take a few business days. Prices are in US dollars. Custom work is invoiced as agreed in writing. Applicable taxes are added where the law requires.

3. What we need from you

We can only build what we understand. You agree to give us accurate information, reasonable access to the people and systems involved, and timely feedback. Delivery timing depends on when we receive what we need.

4. Delivery and acceptance

We build and test your system, install it in your office, load the documents you provide, and train your staff. Please tell us within 14 days of installation if it does not work as described. We will make reasonable efforts to correct problems within the scope of your package. Requests beyond that scope are new work.

5. Refunds

If we have not yet ordered your hardware, you may request a full refund by emailing us. Once hardware has been ordered, the hardware & provisioning fee is refunded minus the cost of the hardware and any return or restocking charges we cannot recover, and any work already completed. Managed Sovereignty Plan payments are not refunded for partial months. Nothing in this section limits rights you have under applicable law.

6. Ownership

Content and data you provide remain yours. When you have paid the hardware & provisioning fee in full, you own the hardware installed in your office and the configuration and content we created specifically for you. We keep ownership of our pre-existing tools, methods, and general know-how, and we grant you a non-exclusive license to use them as part of your deliverable. Third-party software and models are governed by their own licenses.

7. Confidentiality

We will treat non-public information you share with us as confidential and use it only to provide the services.

8. No guarantee of results

AI systems can make mistakes. Results depend on your business, your data, and how the system is used. We do not guarantee any particular outcome, and you remain responsible for reviewing important outputs and decisions. See our Disclaimer.

9. Warranty disclaimer

Except as stated in these terms, the services and the site are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to a service is limited to the amount you paid us for that service.

11. Acceptable use

You agree not to use our services or site to break the law, infringe others’ rights, send spam, or harm or interfere with any system. We may decline or stop work that we believe violates this section.

12. Cancelling the Managed Sovereignty Plan

You can cancel the monthly plan at any time, yourself, with the “Manage billing or cancel” button in your client portal or on the Oriam AI billing page (sign in with the email you paid with). You can also email [email protected] from the address on your account. Cancellation takes effect at the end of the month already paid, and you will not be charged again. Your system keeps running on your hardware, but monitoring, updates, tuning, and support stop, and we remove our remote health connection. Either of us may end a custom engagement by written notice; you will pay for work completed to that point.

13. Governing law

These terms are governed by the laws of the State of Missouri, without regard to conflict-of-law rules. Disputes will be brought in the state or federal courts located in Greene County, Missouri, and you consent to their jurisdiction.

14. Changes

We may update these terms. The version in effect when you buy a service applies to that purchase.
